SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED — For Logistics Partners

These Terms and Conditions govern the relationship between Speedse Logistics Services Private Limited and the truck owner/operator who provides transportation services to the Company. By entering into this agreement and using our platform, you agree to the terms outlined herein.

This document is an electronic record as per the provisions of the Information Technology Act, 2000. By clicking on the "I ACCEPT/AGREE" button on the Platform, you are consenting to be bound by this Agreement.

PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THE CLAUSES BEFORE YOU USE THE SERVICE OF THE PLATFORM, AS YOU SHALL BE BOUND BY ALL THE TERMS AND CONDITIONS CONTAINED HEREIN upon clicking on the "I ACCEPT" button.

1. Scope of Services

a. Services Provided

The Truck Owner agrees to provide transportation services using their trucks, as requested by the Company, including but not limited to:

  • Freight and cargo transport
  • Delivery and collection of goods
  • Long-distance or local transportation as per the Company's needs

b. Instructions

The Truck Owner agrees to follow all instructions provided by the Company regarding the transport of goods, delivery schedules, and routes.

2. Truck Owner's Responsibilities

a. Equipment and Maintenance

  • The Truck Owner shall ensure that their truck(s) are in good working condition, regularly maintained, and comply with all safety and regulatory standards.
  • The Truck Owner is responsible for obtaining and maintaining all necessary licenses, permits, and insurance for their truck(s).

b. Compliance with Laws

  • The Truck Owner agrees to comply with all applicable local, state, and national laws, regulations, and safety standards, weight limits, vehicle emissions, and transportation of goods.
  • The Truck Owner is responsible for ensuring that all cargo being transported is properly secured, loaded, and unloaded.

c. Drivers

  • The Truck Owner shall ensure that all drivers employed or contracted by them are licensed, qualified, and adequately trained for the operation of the vehicle.
  • The Truck Owner must ensure that drivers adhere to legal working hour restrictions and follow all safety protocols.

3. Company's Responsibilities

a. Assignment Details

The Company will provide the Truck Owner with details of the transportation assignments, including:

  • Pickup and delivery locations
  • Cargo description
  • Delivery deadlines (if applicable)
  • Special handling instructions (if any)

b. Logistical Support

The Company will provide support for any logistical needs related to the transportation, including route planning and delivery scheduling.

4. Payment Terms

a. Documents Submission

  • The Truck Owner must submit details of the services provided, including date(s) of service, origin and destination, and any other relevant details as required by the Company.
  • POD should be submitted within 15 days of completing the service.
  • If POD is not submitted within 15 days after completing the trip, ₹100/- per day will be deducted as a penalty.

5. Insurance and Liability

a. Insurance Coverage

The Truck Owner is required to carry insurance coverage for their truck(s), drivers, and cargo. This includes, but is not limited to:

  • Comprehensive vehicle insurance
  • Cargo insurance
  • Worker's compensation insurance for drivers and employees

b. Liability Disclaimer

The Company is not responsible for any damage, loss, or injury that occurs as a result of the Truck Owner's failure to maintain adequate insurance or comply with legal requirements.

c. Indemnity

The Truck Owner agrees to indemnify and hold the Company harmless from any claims, losses, or damages resulting from the Truck Owner's negligence, including violations of laws, accidents, or damage to cargo.

6. Cargo Handling and Safety

a. Safe Handling

The Truck Owner is responsible for the safe handling, loading, transportation, and unloading of cargo. The Truck Owner must ensure that:

  • Cargo is properly secured to prevent damage or loss during transport.
  • Proper documentation (e.g., bills of loading, delivery receipts) accompanies the cargo.

b. Incident Reporting

In the event of damage, theft, or loss of cargo, the Truck Owner must immediately notify the Company and cooperate in resolving the situation, including providing relevant reports and documentation.

7. Term and Termination

a. Termination Conditions

This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement with written notice if:

  • The other party breaches any material term of this Agreement and fails to remedy the breach within 2 days of receiving notice.
  • Either party becomes insolvent or unable to meet its financial obligations.

b. Immediate Termination

The Company reserves the right to terminate the agreement immediately if the Truck Owner fails to provide adequate service or violates any laws or regulations governing transportation.

8. Force Majeure

Neither party will be held responsible for failure or delay in performance due to events beyond their control, including but not limited to:

  • Natural disasters, including floods, earthquakes, or storms
  • Strikes or labour disputes
  • Acts of war, terrorism, or government actions
  • Vehicle accidents, road closures, or other unforeseen events

9. Confidentiality

The Truck Owner agrees to maintain the confidentiality of all proprietary information provided by the Company, including customer data, business strategies, and operational plans. This obligation survives the termination of the Agreement.

10. Independent Contractor Relationship

The Truck Owner is an independent contractor and not an employee of the Company. The Truck Owner is responsible for their own taxes, employee benefits, and insurance. Nothing in this Agreement creates an employer-employee relationship between the parties.

11. Amendments

The Company reserves the right to amend or update these Terms and Conditions at any time. Any changes will be communicated to the Truck Owner in writing or via electronic means and will be effective immediately upon publication.

By accepting work from the Company, you agree to the Terms and Conditions as outlined above.
