SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED — For Clients

1. Introduction

SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED ("SPEEDSE") is engaged in the business of transportation of goods by road. By accessing or using 'SPEEDSE' services, you acknowledge that you have read and understood these terms and conditions ("Service Terms"). Your acceptance of these terms shall constitute a binding agreement between you ("You" or "Your") and SPEEDSE.

If you do not agree with any of these Service Terms, you must immediately cease accessing and using the website, mobile application, and the services provided thereunder.

2. Transport Services

SPEEDSE agrees to provide transport services for the movement of goods by road under the following terms:

  • The transportation services shall be carried out on a "said to contain" basis.
  • SPEEDSE Logistics shall issue a Goods Consignment Note mentioning the consignor and consignee details, along with necessary shipment information.
  • Goods shall be delivered as per the location specified by the customer.
  • SPEEDSE will not release any shipment to third parties without prior written authorization.
  • Proof of delivery shall be submitted within seven (7) working days from the date of shipment delivery.
  • Transportation of restricted goods, including liquor, hazardous materials, firearms, drugs, obscene materials, livestock, and human remains, is strictly prohibited.

3. Pricing and Payment Terms

  • Customers shall pay a service fee as agreed upon between the parties.
  • The service fee shall be exclusive of all taxes as per applicable law.
  • Customers shall reimburse SPEEDSE for taxes payable, except for GST paid under the reverse charge mechanism.

4. Damages and Liability

  • SPEEDSE does not guarantee against damages due to improper packaging or the nature of goods.
  • Customers will be informed about potential risks during shipment.
  • Customers may opt for insurance coverage for transported goods.
  • In the event of loss or damage, claims shall be processed in accordance with the insurance policy terms.

5. Responsibilities of Customers

  • Customers must provide accurate shipment details, including origin, destination, cargo specifications, and consignee information.
  • Proper packaging of shipments must be ensured for safe transport.
  • Any special transport conditions (e.g., temperature-sensitive goods) must be communicated in writing.
  • Customers must issue necessary documentation, including permits, invoices, stock transfer notes, and e-way bills.
  • Customers are responsible for statutory payments such as GST, entry tax, or other applicable taxes.
  • Customers must comply with all legal obligations concerning transported goods.

6. Limitation of Liability and Indemnity

  • Customers shall indemnify SPEEDSE against any claims, liabilities, legal violations, or misrepresentation.
  • SPEEDSE liability for in-transit damage shall be limited to 20% of the service fee, reduced by any insurance claims received.

7. Force Majeure

In case of unforeseen circumstances beyond reasonable control (e.g., natural disasters, terrorism, pandemics, government restrictions, labor strikes), SPEEDSE and the customer shall take reasonable measures to mitigate losses. If such conditions persist beyond two months, either party may terminate the agreement.

8. Termination

  • Either party may terminate the agreement by issuing a 30-day written notice.
  • Termination does not affect rights or obligations accrued before termination.

9. Governing Law and Dispute Resolution

  • This agreement shall be governed by the laws of India, with courts in Delhi having exclusive jurisdiction.
  • Disputes shall be settled amicably, failing which arbitration will be conducted under the Arbitration and Conciliation Act, 1996, with Delhi as the arbitration seat.
  • Arbitration proceedings shall be conducted in English.

10. Miscellaneous

  • Clauses on limitation of liability, indemnity, governing law, and dispute resolution shall survive termination.
  • This agreement constitutes the entire agreement between parties.
  • SPEEDSE retains a general lien over transported shipments in case of payment defaults.
  • No partnership, agency, or joint venture is created by this agreement.
  • Any amendments must be agreed in writing by both parties.
  • SPEEDSE may subcontract transport services, but customers may not transfer rights without prior notice.
  • Both parties shall bear costs equally related to this agreement.

11. Commercial Terms

  • Customers shall bear loading and unloading charges as applicable.
  • Freight charges exclude loading and unloading fees.
  • Payment shall be processed before unloading unless otherwise agreed.
  • Customers must generate e-way bills and ensure compliance with transporter ID requirements.
  • SPEEDSE shall furnish e-invoices and e-PODs for payment and compliance.
  • Transit speeds: 300 km/day in plain regions, 200 km/day in hilly regions.
  • In case of transit delays attributable to SPEEDSE, a penalty structure may apply, excluding delays caused by natural calamities, accidents, or unforeseen events.

Cancellation

In case of cancellation, the charges applicable will be ₹1,000 for all truck types, plus detention charges if applicable.

Payment

No payments shall be made directly to the driver or owner of the truck. All payments must be transferred exclusively to the SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED account via online transfer. In the case of a to-pay trip, the consigner must ensure that the consignee settles the payment within the agreed cycle. If the consignee defaults, the consigner bears sole responsibility for clearing the agreed freight charges.

Bilty/LR Documentation

All Bilty/LR processes and related documentation will be handled digitally. Our operations team will facilitate a smooth and transparent execution of all formalities.

Escalations & Issue Resolution

SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED is fully committed to resolving any issues that may arise during transit. Therefore, any escalations must be communicated directly to us — consigners should refrain from negotiating or interacting directly with the driver or vehicle owner.

Extra Loading/Unloading Points

To prevent inconvenience after placement, customers must confirm the number of loading and unloading points at the time of booking.

Extra Distance Calculation

Any extra freight due to additional distance will be calculated as: (Linear calculation on a per KM basis) × 1 (Considering both onward and return movement).

Communication & Notifications

SPEEDSE LOGISTICS SERVICES PRIVATE LIMITED may contact customers via calls, notifications, or text messages strictly regarding transportation requirements.

Insurance Documentation

Mandatory documents required for insurance claims will be provided only if the consignor has opted for third-party insurance.
